Seller Terms and Conditions

1. Introduction
These terms govern the relationship between the ETEKET platform, owned and operated by NOVA PAZAR TRADING and registered in the Emirate of Dubai, United Arab Emirates, and every individual or entity that registers to display and sell products through ETEKET.SHOP.
A seller’s registration, selection of a package, addition of products, or acceptance of orders constitutes acceptance of these terms and the platform’s other policies, including the Return and Exchange Policy, Shipping and Delivery Policy, and Privacy Policy.
If a separate signed agreement exists between the platform and the seller, its provisions shall prevail in the event of a conflict, while the remaining provisions of these terms shall continue to apply.
2. Definitions
- “Platform,” “ETEKET,” or “we”: The ETEKET platform operated by NOVA PAZAR TRADING.
- “Seller” or “Merchant”: The individual or entity approved to display and sell products through the platform.
- “Customer”: The person who purchases a product through the platform.
- “Product”: Any item offered by the seller through the platform.
- “Order”: A confirmed purchase order relating to the seller’s products.
- “Package”: The subscription plan selected by the seller that determines the fees, commission, and benefits.
- “Business Day”: An official business day in the United Arab Emirates.
3. Registration and Verification
The seller must provide accurate, complete, and up-to-date information, including the name, contact details, address, banking information, and any required business information.
The platform may request documents for verification and compliance purposes, including:
- A trade licence or business activity permit when required.
- Identity documents and documents identifying the authorised signatory.
- Bank account details.
- Certificates or permits relating to specific product categories.
- Tax registration information when applicable.
The seller must update their information and documents immediately when any change occurs. The platform may conduct periodic reverification or request additional documents.
Using another person’s information or creating multiple accounts for the same entity without written approval is prohibited. The account may be suspended immediately if forgery, impersonation, or misleading information is suspected.
Opening an account is not an acquired right. The platform may accept or reject a joining application according to its operational criteria and compliance requirements.
4. Seller Packages
Three packages are available:
A. Free Support Package
- Price: Free.
- Number of products: Up to 10 products.
- Platform commission: 25% of the actual value of products sold after discounts.
- Fixed fee: AED 9 for each order relating to the seller.
- Technical support by email.
- A dedicated store and seller dashboard.
- The ability to create offers and discounts.
- Inclusion of the seller’s products in the affiliate marketing program without an additional subscription fee.
- Access to the payment methods supported by the platform.
B. Premium Seller Package
- Price: AED 499 per year.
- Number of products: Up to 100 products.
- Platform commission: 20% of the actual value of products sold after discounts.
- Fixed fee: AED 9 for each order relating to the seller.
- Technical support by phone, email, and live chat.
- A dedicated store and seller dashboard.
- The ability to create offers and discounts.
- Inclusion of the seller’s products in the affiliate marketing program without an additional subscription fee.
- Homepage visibility for one month, subject to scheduling and available space.
- The option to purchase paid advertising within the platform.
- Access to the payment methods supported by the platform.
C. Distinguished Seller Package
- Price: AED 1,999 as a one-time lifetime payment.
- Number of products: Unlimited, subject to quality standards and fair use.
- Platform commission: 17% of the actual value of products sold after discounts.
- Fixed fee: AED 9 for each order relating to the seller.
- Technical support by phone, email, and live chat.
- A dedicated store and seller dashboard.
- The ability to create offers and discounts.
- Inclusion of the seller’s products in the affiliate marketing program without an additional subscription fee.
- Homepage visibility for six months, subject to scheduling and available space.
- Additional marketing through social media according to the platform’s plan and schedule.
- The option to purchase paid advertising within the platform.
- Access to the payment methods supported by the platform.
The term “lifetime” means the period during which the platform continues to offer the package and operate the service. It does not guarantee that any particular business activity, technology, or service will continue indefinitely.
5. Subscription Fees and Package Changes
Fees for paid packages must be paid in advance and become non-refundable after the package has been activated and its benefits made available, unless otherwise required by law or the platform is unable to provide the paid service.
The seller may request a package upgrade. The upgrade is subject to the price and terms applicable at the time of the request.
If an annual subscription expires without renewal, the account may be moved to the free package, and the seller may be required to reduce the number of products to the permitted limit.
The platform may update package prices, benefits, or commission rates after notifying the seller. An increase in subscription fees will not apply retroactively to an existing paid period and will apply upon renewal or selection of a new package, unless otherwise required by law.
6. Commission and Fees
The platform’s commission is calculated on the actual value of products sold after discounts. Shipping charges and taxes are excluded from the commission calculation basis.
A fixed fee of AED 9 is deducted from each order relating to the seller, even when the customer’s original order includes products from more than one seller.
Where applicable, a settlement may include other fees that have been disclosed and accepted in advance, such as optional service fees, paid advertising fees, or costs resulting from the seller’s error.
Details of commissions, fees, and deductions will appear in the seller dashboard or settlement statements to the extent permitted by the technical systems.
7. Settlements and Transfer of Amounts Due
The seller’s amounts due are settled and transferred every 15 days, after orders have been completed and there are no pending returns, disputes, or financial reviews.
The platform may deduct or withhold the following amounts from the seller’s amounts due:
- The platform commission and order fee.
- Amounts refunded to customers.
- Return or exchange costs resulting from a defect, error, or non-conformity attributable to the seller.
- Reverse shipping fees or approved compensation.
- Fees for additional services requested by the seller.
- Amounts arising from settlements, chargebacks, or proven fraud.
A transfer may be temporarily suspended when there is a dispute, suspected fraud, or a serious violation, until the review is completed.
The seller must provide a valid bank account within the United Arab Emirates in the name of the business or owner, in accordance with verification requirements, and bears the consequences of providing incorrect information.
8. Permitted Products
The seller guarantees that all products are:
- Original, lawful, safe, and not counterfeit or adulterated.
- Owned by the seller or authorised for sale by the seller.
- Compliant with the applicable laws, regulations, and standards.
- Not prohibited, hazardous, or expired.
- Supported by the required permits or registrations where applicable.
Products that violate the law, public order, or intellectual property rights are prohibited. The platform may remove any product or request documents proving its source, authenticity, and safety.
9. Product Information and Content
The seller must provide an accurate description, images, price, sizes, colours, components, warnings, and preparation time for each product.
Any material information that may affect the purchasing decision must be disclosed, including:
- Whether the product is made or modified to order.
- Any additional preparation time.
- Materials, ingredients, or country of origin where required.
- Care and usage instructions.
- Any restrictions on returns for health or personal reasons.
The seller guarantees that they have the right to use all images, text, trademarks, and content uploaded to the platform. The seller grants ETEKET a non-exclusive licence to use such content to display and promote the products and the platform, on and outside the website, throughout the account activation period and for the period required to retain records of previous transactions.
The platform may adjust the format of the content and improve its presentation without changing the essential product specifications.
10. Prices and Taxes
The seller determines the prices of their products and must ensure that prices are clear, not misleading, and compliant with applicable laws.
Prices must be entered according to the tax settings adopted by the platform. The seller must disclose and update their tax status and remains responsible for taxes, invoices, and records relating to their sales under applicable laws.
Product prices do not include shipping charges. Delivery charges are displayed to the customer during checkout.
Artificially increasing a price before applying a discount, presenting false offers, or engaging in misleading pricing is prohibited.
11. Inventory and Order Management
The seller must keep inventory, prices, and product information updated and must not list products that are unavailable or cannot be prepared.
Upon receiving an order, the seller must:
- Confirm and prepare the order within the specified period.
- Inspect the product before packaging.
- Follow the order details and not replace the product without approval.
- Notify the platform immediately of any delay or unavailability.
- Hand the shipment to the delivery representative at the specified time and in accordance with the stated instructions.
Repeated delays or cancellations caused by insufficient inventory or poor management constitute an operational violation that may lead to reduced visibility, suspension of products, or suspension of the account.
12. Packaging and Shipping
The platform coordinates shipping and delivery to the customer unless another arrangement has been agreed.
The seller must use ETEKET-approved packaging materials or bags when provided by the platform and must package each product safely and appropriately according to its nature.
Prohibition of Direct Communication and Promotional Materials
Direct communication between the seller and the customer is not permitted before, during, or after fulfilment of an order. All inquiries, follow-ups, complaints, and order discussions must take place exclusively through ETEKET’s official channels or customer service.
The seller is prohibited from contacting the customer directly by phone, WhatsApp, email, text message, social media, or any other means. The seller is also prohibited from using customer information for any purpose other than fulfilling the order according to the platform’s instructions.
The seller is prohibited from including any identifying or promotional material relating to the seller inside the shipment or on its packaging, including business cards, phone or WhatsApp numbers, email or website addresses, social media accounts, QR codes, catalogues, vouchers, offers, or any other material encouraging the customer to contact or deal with the seller directly.
This prohibition does not include information that the law requires to appear on a product or its packaging, or a legally required invoice, provided that it does not contain direct contact information or an invitation to transact outside the platform. An exception may also be granted with ETEKET’s prior written approval.
A breach of this provision constitutes a serious violation. The platform may remove the product, suspend or terminate the account, temporarily suspend settlement of amounts due while the violation is reviewed, and charge the seller for resulting costs or damage to the extent permitted by law.
The seller is responsible for damage caused by unsuitable packaging or the delivery of an incorrect or incomplete product, according to the outcome of the verification process.
13. Cancellation and Inability to Fulfil
The customer may request cancellation within one hour of order confirmation in accordance with the platform’s policy, unless production of a customised product has begun or cancellation is no longer possible due to the preparation or shipping status.
If the seller cancels an accepted order without a legitimate reason, or fulfilment becomes impossible because of an inventory error, the platform may charge the seller the actual costs and take an appropriate operational action.
If the customer refuses delivery or delivery cannot be completed, responsibility for the costs will be determined according to the reason for the situation and after reviewing the shipment information and delivery attempts.
14. Exchanges and Returns
The seller must comply with the Return and Exchange Policy published on the platform, including:
- Accepting a return due to a change of mind within seven days when the product meets the applicable conditions.
- The customer bears the return shipping cost when the return is due to a change of mind.
- Health, personal, and customised products are excluded from change-of-mind returns in accordance with the policy and the law.
- The seller bears the full return or exchange costs when the product is defective, damaged, incorrect, or does not conform to the order or description.
- The seller must cooperate in inspecting the product, provide evidence, and respond to the platform’s request within 48 business hours.
The refunded amount and any costs borne by the seller may be deducted from the seller’s current or future amounts due.
15. Customer Service and Complaints
The seller must respond to the platform’s inquiries, complaints, and requests for evidence within 48 business hours.
The seller must cooperate in good faith and provide invoices, images, preparation records, or any other evidence required to resolve a complaint.
The platform makes an operational decision based on the available information and its policies, without preventing either party from exercising their legal rights.
16. Ratings and Reviews
Customers may rate products and their purchasing experience. The seller is prohibited from:
- Purchasing or creating fake reviews.
- Pressuring a customer to change a review.
- Offering an undisclosed benefit in exchange for a positive review.
- Threatening, abusing, or publishing a customer’s information.
The platform may remove reviews that violate its policies but will not remove a negative review merely because the seller is dissatisfied with it.
17. Data Protection and Non-Circumvention
The seller may use customer information only to fulfil and service the order through the platform.
The following are prohibited:
- Using customer information for direct marketing without appropriate legal consent.
- Sharing customer information with a party that is not required for fulfilment of the order.
- Retaining customer information after the legal and operational need has ended.
- Communicating directly with the customer through any channel outside the platform’s official channels.
- Placing contact information, identifying or promotional materials, or offers inside the parcel or on its packaging.
A violation of customer privacy or an attempt to circumvent the platform constitutes a serious violation that may lead to termination of the account.
18. Fraud Prevention
Creating fake orders or manipulating coupons, prices, sales, reviews, product information, or identity documents is prohibited.
The platform may request documents, open an internal review, and temporarily suspend products, the account, or amounts due when there are reasonable indicators of fraud.
19. Intellectual Property
The seller guarantees that their products and content do not infringe any trademark, patent, copyright, design right, or other third-party right.
Upon receiving a complaint, the platform may temporarily remove the product and request documents proving the seller’s right to offer it. The seller is responsible for violations and claims resulting from their content or products.
20. Seller Responsibility and Indemnification
The seller is responsible for the quality, safety, authenticity, conformity with the description, and legal compliance of all products.
To the extent permitted by law, the seller must indemnify the platform for reasonable losses, costs, and claims arising from:
- A defective, dangerous, or non-compliant product.
- An infringement of intellectual property rights.
- False information or documents.
- A violation of tax, trade, or consumer protection laws.
- A breach involving customer information.
- A violation of these terms.
The platform remains responsible for operating its technical services and official channels within the limits established by law and is not responsible for commitments made by the seller outside the platform without authorisation.
21. Incentives and Advertising
The platform may offer incentives, campaigns, discounts, or visibility opportunities to sellers under terms announced for each initiative.
Paid advertising within the platform or through external channels is an optional service and is not included in package fees unless the relevant offer expressly states otherwise.
The platform does not guarantee a specific number of visits, orders, or sales as a result of visibility, advertising, or inclusion of products in the affiliate marketing program.
22. Account Suspension and Penalties
The platform may take graduated action in the event of a violation, including:
- A notice or warning.
- A request to correct the violation.
- Reduced product visibility.
- Suspension of one or more products.
- Temporary suspension of the account or amounts due.
- Termination of the account.
Immediate suspension or termination may occur in the case of serious violations, including counterfeit or prohibited products, fraud, forged documents, misuse of customer information, directing customers outside the platform, or manipulation of reviews.
The seller may request termination of the account after completing all open orders and settling returns, disputes, and outstanding amounts.
23. Amendments
The platform may amend these terms for legal, operational, or commercial reasons. The seller will be notified of material amendments by email, through the dashboard, or on the website.
Amendments take effect on the date stated in the notice. An increase in subscription fees will not apply retroactively to an existing paid subscription period.
Continued use of the account after an amendment takes effect constitutes acceptance. A seller who does not agree may request closure of the account after settling all obligations.
24. Force Majeure
Neither party is responsible for delay caused by circumstances beyond reasonable control, including disasters, government decisions, interruption of communications, payment or shipping services, or border closures. The affected party must make reasonable efforts to limit the damage and notify the other party where possible.
25. Governing Law and Disputes
These terms are governed by the laws of the United Arab Emirates.
In the event of a dispute, the parties will first cooperate in an attempt to resolve it amicably through the platform’s official channels. If a resolution cannot be reached, the courts of the Emirate of Dubai shall have jurisdiction, without prejudice to any mandatory jurisdiction established by law.
